Who you are contracting with
Sophura LLC, a Wyoming (US) limited liability company, operated by David Kumi. “The desk”, “I” and “Sophura” in these terms mean that company.
What is sold
Fixed-fee, fixed-duration technical engagements as described on the service pages and the pricing page at the time of the quote. The written quote controls: it states the scope, the price, the duration, and the exclusions. I find the specific obligation you are breaching, fix it for a fixed fee, and hand you the evidence. I don’t give legal advice.
What is explicitly not sold
- Legal advice, legal opinions, or conclusions about your obligations.
- Signatures or attestations on declarations of conformity.
- Guarantees of regulatory outcomes, rankings, traffic or revenue.
Billing
Half on start, half on delivery of the evidence pack. Milestone billing above $8,000. Prices are exclusive of any taxes applicable in your jurisdiction. Invoices are due within 14 days unless the quote says otherwise.
The guarantee
Evidence pack or no fee: every engagement ends with a dated evidence pack. If I don’t deliver it, you don’t pay the closing half. The guarantee attaches to the deliverable — which is within the desk's control — never to a regulatory or commercial outcome, which is not.
Access and confidentiality
You grant the minimum access that lets the work happen; it is used only for the engagement and relinquished at the end. Everything seen inside your systems is confidential. A data processing agreement is available for any engagement involving personal data.
Intellectual property
On full payment, you own the deliverables: the changes made in your systems and the documents produced for you. The desk retains its general know-how, methods and templates.
Liability
Liability for an engagement is capped at the fees paid for that engagement, and neither side is liable for indirect or consequential loss. Nothing in these terms excludes liability that cannot lawfully be excluded.
Governing law
These terms are governed by the law of the State of Wyoming, USA, unless the written quote agrees otherwise.
